根據(jù)香港特別行政區(qū)有關(guān)法律，經(jīng)甲乙雙方友好協(xié)商，在平等、自愿、誠(chéng)信、互利的基礎(chǔ)上，乙方自愿申請(qǐng)加盟甲方“Global Education Alliance Limited”連鎖特許經(jīng)營(yíng)體系，并愿意依照該體系統(tǒng)一的經(jīng)營(yíng)模式及甲方有關(guān)的管理制度、標(biāo)準(zhǔn)等開(kāi)設(shè)“Global Education Alliance Limited”加盟店的事宜，達(dá)成一致協(xié)議如下：
Pursuant to the laws of the HKSAR, in line with the principle of equality, voluntariness, integrity, and mutual benefit, and through friendly consultation by both parties, party B voluntarily applies to join in chain franchise system of party A “Global Education Alliance Limited”, and presents the willingness and consent to open issues of Global Education Alliance Limited”Franchises in accordance with the system of unified business model and the relevant management system and standard of party A.
一、基本內(nèi)容
一：Basic Contents
1、為了充分保障乙方的利益，甲方特許乙方在本合同自簽訂之日起20日內(nèi)為冷靜期，乙方擁有單方解除本合同的權(quán)利，甲方應(yīng)全額退還乙方所交納的加盟費(fèi)、保證金等費(fèi)用，且不視為乙方違約。
1. In order to fully protect the interests of the Party B, as of the establishment date of signing this contract, party B is granted from party A a cooling-off period within 20 days, during which the rights to unilaterally terminate this contract shall be granted to party B and party A shall pay party
B a full refund of the initial fee, deposit and other expenses, which shall not be deemed as
breaching of party B.
2、甲方特許乙方依本合同的約定使用其商標(biāo)、商號(hào)、服務(wù)標(biāo)志、培訓(xùn)體系、營(yíng)運(yùn)體系、財(cái)務(wù)體系、信息網(wǎng)絡(luò)系統(tǒng)、專有技術(shù)系統(tǒng)等經(jīng)營(yíng)管理體系，開(kāi)辦甲方的一個(gè)特許加盟店。
2. party B under this contract agreement is granted concession from party A to use its trademarks, trade name, service marks, training system, operating system, financial system, information network system, proprietary technology system and other management systems, and is granted to set up one franchise of party A.
3、甲方為乙方提供開(kāi)店前的整體規(guī)劃，包括店址評(píng)估、投資預(yù)算、經(jīng)營(yíng)預(yù)算、人力配置、資源配置、經(jīng)營(yíng)技術(shù)的提供與傳授等，乙方需全力配合。
3. party A shall provide party B with overall planning before opening the business, including shop assessment, investment bu(轉(zhuǎn) 載 于:wWw.z 在 點(diǎn) 網(wǎng))dget, operating budget, staffing, resource allocation, the providing and teaching of management techniques and so on, and party B shall fully cooperate.
4、甲方任何員工不得對(duì)乙方做任何承諾。若有承諾，以經(jīng)加蓋甲方公章的書(shū)面方式確認(rèn)為準(zhǔn)，任何沒(méi)有甲方公章的書(shū)面確認(rèn)與口頭承諾均不具法律效力。
4. no employee of party A is granted the right to make promises to party B, only with the Party A confirmation in writing along with the stamped seal the promise is the legal commitment, otherwise the written confirmation and verbal promise carry no legal effect, and party A is out of any responsibilities and duties.
5、乙方加盟店的經(jīng)營(yíng)範(fàn)圍限於海外留學(xué)顧問(wèn)服務(wù)(Agency Link)、簽證服務(wù)、監(jiān)護(hù)人服務(wù)、機(jī)場(chǎng)接送及住宿服務(wù)、遊學(xué)咨詢服務(wù)及移民咨詢服務(wù)。
5. the business scope of franchising party B is limited in oversea-study advisory service, agency visa service, guardian service, airport pickup agency and accommodation service, traveling advisory service, and immigration advisory service.
6、乙方須嚴(yán)格遵守當(dāng)?shù)貒?guó)家法律法規(guī)開(kāi)展經(jīng)營(yíng)活動(dòng)，除非事先得到甲方書(shū)面同意，乙方不得以承包、租賃等一切方式轉(zhuǎn)讓該加盟店的經(jīng)營(yíng)權(quán)。禁止乙方以加盟店的經(jīng)營(yíng)權(quán)設(shè)定擔(dān)保。
6. party B shall strictly abide by local laws and regulations to carry out business activities in the country, except with the written consent from party A in advance, party B shall not be granted to transfer the management right of franchise in contracting, leasing and other ways.
7、乙方未經(jīng)甲方書(shū)面同意不得擅自變更加盟店的經(jīng)營(yíng)范圍。
7. party B shall not be granted to alter the business scope of the franchise in any way without the written consent confirmation by party A.
8、為了擴(kuò)大甲方在乙方加盟店的所在國(guó)家或城市的院校網(wǎng)絡(luò)，在甲方的書(shū)面同意下，乙方有義務(wù)爭(zhēng)取更多優(yōu)質(zhì)的院校與甲方建立合作關(guān)係。任何由乙方促成的合作協(xié)議，乙方不需支付甲方所產(chǎn)生的行政費(fèi)用。
8.in order to expand party A 's schools network in the country or city where party B is located, with the written consent confirmation from party A, Party B is obliged to secure more high-quality schools to establish business relations with party A. Party B shall not pay the administrative fee incurring by party A if any agreement is brokered by party B.
二、雙方法律關(guān)系
二：Bilateral legal relations
1、甲乙雙方之法律地位各自獨(dú)立，不存在任何合伙、雇傭或承包關(guān)系。
1. The legal status between both parties is respectively independent and no partnership , no
employment and no contractual relations shall be granted to make allowance.
2、乙方為甲方的加盟者，無(wú)權(quán)以甲方或甲方關(guān)系企業(yè)名義簽訂合同或從事法律活動(dòng)，使甲方或甲方關(guān)系企業(yè)對(duì)任何第三方承擔(dān)責(zé)任或負(fù)擔(dān)費(fèi)用。
2. As a franchise of Party A, Party B shall not be granted any rights to conclude and sign any contracts or engage in any legal activities in the name of Party A or in the name of affiliated company of party A, so that party A or the affiliated company of party A shall be liable to undertake the due obligations and charges.
3、乙方對(duì)外的一切法律行為，除依本合同規(guī)定運(yùn)作或經(jīng)甲方另以書(shū)面同意或授權(quán)外，皆為乙方獨(dú)立行為，乙方須自行承擔(dān)一切責(zé)任。
3. Apart from the operation under this contract or in the consent confirmation or authorization in writing by party A, Party B shall be obliged to undertake any other external legal acts independently and undertake any other responsibilities.
三、商標(biāo)及經(jīng)營(yíng)技術(shù)資產(chǎn)的使用
三：use of the trademark and business technology assets
1、在本合同有效期內(nèi)，甲方（即商標(biāo)權(quán)人）許可乙方可使用甲方或其關(guān)系企業(yè)的相關(guān)商標(biāo)。乙方在超出本合同有效期或非為履行本合同的目的在加盟店以外使用甲方相關(guān)商標(biāo)，視為侵權(quán)行為，甲方將依法追究乙方之法律責(zé)任。
1.during the validity of this contract, Party A(namely trademark owner)authorize party B to use the relevant trademarks from party A or affiliated companies. Party B beyond the life of the contract or non-fulfillment of the purpose of this contract using the trademark outside the franchise shall be deemed as tort feasor.
2、乙方及其加盟店使用被許可使用的商標(biāo)時(shí)，應(yīng)與甲方提供的商標(biāo)標(biāo)識(shí)一致，乙方及其加盟店不得申請(qǐng)注冊(cè)與被許可使用的商標(biāo)標(biāo)識(shí)相同或相似的商標(biāo)，否則甲方有權(quán)單方面解除本合同，并追究乙方因此給甲方造成的一切損失。
2. the trademark used by party B or other franchises shall be consistent with the one authorized and provided by party A, as well as the rights to apply for registration with identical trademarks or similar trademarks authorized to be used by party A shall not be granted to party B for any legal or illegal use, otherwise party A shall be granted the rights to unilaterally terminate this contract and investigate all the losses caused by party B in the issue.
3、乙方可在本合同有效期限內(nèi)在其加盟店的經(jīng)營(yíng)管理中使用甲方所提供的經(jīng)營(yíng)知識(shí)、技術(shù)或資料。
3.in the life of this contract, party A authorizes party B in the operation and management of the franchise to use business knowledge, technology and material provided by party A.
4、乙方在使用經(jīng)甲方授權(quán)使用的`商標(biāo)和經(jīng)營(yíng)技術(shù)資產(chǎn)時(shí)，不得有以下行為：
4.following acts shall not be presented by party B in the case party B uses the trademarks and business technology assets authorized by party A:
1）降低甲方形象，損害甲方商標(biāo)和經(jīng)營(yíng)技術(shù)資產(chǎn)。
1) Reduce the image of party A, damage the trademark and business technology assets of party A.
2）除為該加盟店經(jīng)營(yíng)而向加盟店職工傳授甲方經(jīng)營(yíng)技術(shù)資產(chǎn)或甲方有特別許可外，向任何第三方泄露甲方經(jīng)營(yíng)技術(shù)資產(chǎn)。
2. except with the special permission from party A and to pass on the knowledge about business technology assets from party A to the franchise employee for the purpose of franchising operation, party B discloses business technology assets of party A to any third party.
3）乙方及其加盟店為第三方模仿甲方商標(biāo)和經(jīng)營(yíng)技術(shù)資產(chǎn)，或幫助第三方模仿。
3) party B and the franchise imitate the trademark and business technology assets of party A for third party, or party B and the franchise help third party imitate the trademark and business technology assets of party A.
四、加盟店址
Four: Address of franchises
1、雙方認(rèn)可的乙方加盟店地點(diǎn)為位于
1. the franchise location mutually agreed for Party B is located in….
2、加盟店面積不得少於五十平方米，地點(diǎn)必須為當(dāng)?shù)厥兄行奈恢谩?/p>
2.the franchising area must not be less than 50 square meters; the site must be in the local downtown.
3、加盟店地點(diǎn)經(jīng)甲乙雙方確認(rèn)后，以“GEA”命名該加盟店（本合同中簡(jiǎn)稱為“加盟店”），該加盟店命名必須遵守甲方關(guān)于加盟店的命名規(guī)范。
3. After the consensus of franchise location are made by both parties, the franchise shall be named as GEA( hereinafter referred to as the franchise) which must abide by the name regulation of party
A about franchises.
4、乙方欲在該地點(diǎn)進(jìn)行營(yíng)業(yè)活動(dòng)，須依國(guó)家有關(guān)法律法規(guī)在規(guī)定時(shí)間內(nèi)取得相關(guān)的行政審批手續(xù)。相關(guān)行政審批手續(xù)由乙方自行辦理，甲方提供咨詢、協(xié)助。如因乙方未及時(shí)辦理相關(guān)的行政審批手續(xù)而產(chǎn)生的一切損失由乙方自行承擔(dān)。
4. To conduct business activities in the namely place, party B shall obtain the relevant administrative examination and approval procedures within the stipulated time in accordance with national laws and regulations which shall be conducted by party B and that party A provides consultancy and assistance.
5、乙方應(yīng)在本合同簽定之日起十二個(gè)月內(nèi)開(kāi)業(yè)，否則視為乙方單方違約。
5. party B shall open up business from the date of signing this contract and within 12 months from signing, or party B shall be deemed as unilateral breach of contract.
五、加盟費(fèi)、行政費(fèi)及其他費(fèi)用
Five: Initial Fee, Administrative Expenses and other costs.
1、加盟費(fèi)：
1. Initial Fee:
1）加盟費(fèi)定義：甲方將特許經(jīng)營(yíng)權(quán)授予乙方并許可乙方使用其商標(biāo)標(biāo)識(shí)、甲方為乙方提供籌備服務(wù)，由乙方每年支付一筆費(fèi)用，作為取得該特許經(jīng)營(yíng)權(quán)及商標(biāo)使用權(quán)的費(fèi)用，稱為加盟費(fèi)。
1) Definition of Initial Fee: Party A authorizes franchise right and license to Party B to use trademarks of Party A, and Party A provide party B with blueprint service which shall cause a payment paid by party B per year as the charge for party B obtaining the franchise right and trademarks right, which is called initial fee.
2）在20天冷靜期之外，乙方承諾放棄在任何時(shí)間以任何理由要求返還加盟費(fèi)的請(qǐng)求權(quán)。
2) After the 20 day cooling-off, party B shall make a commitment to give up at any time for any reason the right to demand the return of the initial fee request.
3）自此合同簽訂日起，乙方享有首2年免支付加盟費(fèi)的優(yōu)惠。加盟費(fèi)為金額在首2年優(yōu)惠期過(guò)后由雙方協(xié)商。
3) Since the date of signing the contract, party B shall be granted to be eligible to pay free the initial fee for the first 2 years of concessions.
2、留學(xué)服務(wù)(Agency Link)行政費(fèi)：
2. Administrative Expenses of Agency Link
1）行政費(fèi)定義：甲方扣除加盟店來(lái)自海外留學(xué)顧問(wèn)服務(wù)收入的指定部份%為行政費(fèi)，作為持續(xù)使用甲方資源包括但不限于市場(chǎng)策劃推廣、課程申請(qǐng)?zhí)幚砑凹夹g(shù)支援服務(wù)。詳細(xì)留學(xué)服務(wù)行政費(fèi)計(jì)算方法，請(qǐng)參考附上的補(bǔ)充協(xié)議。
1) Definition of Administrative Expense: AE is that Party A deducts the designated part from the service income of oversea Agency Link in the franchise, which is deemed as the continued use of resources from party A, yet AE includes but is not limited to marketing promotion, course application processing and technical support service. Concerning the detailed calculation methods of administrative fee for oversea study service, please refer to the attached supplemental agreement.
2）加盟店傭金收入的計(jì)算依據(jù)為加盟店所有來(lái)自院校傭金收入及其他有關(guān)學(xué)生升學(xué)的衍生收入等的收入。加盟店必須將前述每筆交易紀(jì)錄至甲方提供的銷售報(bào)告，每月更新一次，乙方須隨時(shí)接受甲方的監(jiān)督和稽核。
2）the calculation basis of the franchise commission income shall include all commission income from all schools in the franchise and other income from the derived income of the eollment of related students. The franchise must record each above- mentioned deal to the sale report party A provided, and the record shall be renewed per month. Part B at any time shall accept the supervision and auditing from party A
3）傭金金額以季度為單位計(jì)算，甲方需在每季的最後一天起14天內(nèi)把當(dāng)季的傭金扣除行政費(fèi)電匯至乙方指定帳戶。
3) commission amount shall be calculated by quarter as a unit. Party A shall remit seasonal commission excluding administrative expense within 14 days prior to the last day of the quarter but before to the account party B designated
六、廣告宣傳及促銷
Six : Advertising and promotion
1、甲方將統(tǒng)籌管理所有加盟店繳納的廣告金，統(tǒng)一合理規(guī)劃安排廣告宣傳活動(dòng)。屬于乙方之加盟店或其他單店自行安排的廣告宣傳活動(dòng)則由各加盟店自費(fèi)。
1. party A shall generally control all the advertising revenue paid by franchises and reasonably arrange advertising campaign. The expenses for other advertising campaigns organized by party B or other franchises shall be paid by their own.
2、甲方規(guī)劃安排的廣告宣傳活動(dòng)包括品牌形象廣告、產(chǎn)品廣告、促銷活動(dòng)廣告等，運(yùn)用的媒體包括電視臺(tái)、廣播電臺(tái)、報(bào)紙、雜志、網(wǎng)絡(luò)、宣傳單等，甲方應(yīng)做好事前規(guī)劃。
Party A shall have a well and advanced preparation and plan in the advertising campaigns, including brand image advertising, products advertising and promotion advertising, and social medias, such as TV Station, radio station, Newspaper, magazine, network and leaflet, that are arranged and used by party A
3、乙方可根據(jù)該加盟地區(qū)市場(chǎng)特性及需求，在與甲方規(guī)劃安排的全國(guó)性或區(qū)域性廣告及促銷活動(dòng)不沖突時(shí)，自行自費(fèi)舉辦各種促銷活動(dòng)或廣告宣傳，但需事先將活動(dòng)或宣傳的內(nèi)容、方案、時(shí)間等具體情況報(bào)經(jīng)甲方書(shū)面同意后方可執(zhí)行。
