一、同意就 羊毛衫加工車間 項(xiàng)目開展合作開發(fā)。

1. agreement on the cooperative development on 

該項(xiàng)目的基本情況是: 額的51%，乙方以生產(chǎn)加工設(shè)備為出資形式，占出資總額的49%。 both parties will  invest_***$ on the project. partya will provide fund and workshop facilities as   investment, accounting for 51% share. partyb will provide the processing equipment,accounting for 49% share.

二、 甲乙雙方各自負(fù)責(zé) 2.

甲方應(yīng)做好以下工作resonsibilities for partya：

1、 以租賃形式提供生產(chǎn)、辦公場地2000平米（包括倉儲(chǔ)），租金低于市場價(jià)，租金列入合作成本；

1) rent out the production and official field 2000m2 (including warehouse) to the cooperative workshop. the rental should be lower than the market price and should be listed as a production cost of workshop.

2、 負(fù)責(zé)流動(dòng)資金的融資，其利息列入合作成本；

2) provide cash flow which is listed as the production cost of workshop.

3、 負(fù)責(zé)設(shè)備進(jìn)口的相關(guān)稅費(fèi)；

3) relative importation tax for transportation of the equipment.

4、負(fù)責(zé)中國境內(nèi)的運(yùn)輸、安裝費(fèi)用，此費(fèi)用列入合作分廠成本

4) transportation and installation fee in chinese mainland, which is listed  as the production cost of workshop.. 

乙方應(yīng)做好以下工作responsibilities for partyb：

1. 負(fù)責(zé)產(chǎn)品開發(fā)、銷售；

1) development , marketing and sales of the product

2. 負(fù)責(zé)生產(chǎn)技術(shù)指導(dǎo)。

2) supervise the production

三、其他others：

1. 甲方負(fù)責(zé)加工生產(chǎn)，協(xié)助乙方銷售；

1) partya is responsible for the production and assist partyb for marketing and sales.

3. 項(xiàng)目總負(fù)責(zé)人由甲方委派，助理負(fù)責(zé)人由乙方委派；

3) chief responsible person is appointed by partya, and assistant should be appointed by partyb.

4. 此項(xiàng)目財(cái)務(wù)獨(dú)立核算，專款專用。經(jīng)營過程中所產(chǎn)生的風(fēng)險(xiǎn)或利潤分配按雙方所占股份比例共同承擔(dān)或享有

to the respective share stipulated in this letter of agreement, both parites bear the risk or profit which generates in the prosecution together. （for instance, the party occupies 51% share should bear 51% risk or profit.）

四、 本協(xié)議書是雙方合作的基礎(chǔ)，甲乙雙方的具體合作內(nèi)容以雙方的正式合同為準(zhǔn)。

（3） 如果在采購合同執(zhí)行過程中，由于甲方客戶方面的不當(dāng)，發(fā)生問題，在乙方的要求下，甲方有義務(wù)進(jìn)行協(xié)調(diào)解決執(zhí)行合同的問題；并要求甲方客戶按采購合同及本合同條款執(zhí)行。由于乙方的原因沒有執(zhí)行好合同條款的情況下，那么甲方有權(quán)要求乙方按采購合同及本合同條款執(zhí)行。

in the process of execution purchase contract, when has undeserved problems, party a has duty to coordinate solving problems. when party b do not perform under the terms of contract well , party a has right to require party b executing terms of purchase contract.

2.雙方的責(zé)任、權(quán)利和義務(wù)

responsibilities, rights and obligations

（1）甲方的責(zé)任、權(quán)利和義務(wù)

party a's responsibility, rights and obligations:

a. 甲方負(fù)責(zé)與其推薦的客戶進(jìn)行聯(lián)絡(luò)、介紹并推廣乙方的產(chǎn)品，并協(xié)助乙方對(duì)客戶的溝通、談判、商務(wù)運(yùn)作等相關(guān)商務(wù)活動(dòng)，最終能達(dá)成乙方與采購商簽訂買賣合同；

on behalf of party b, party a is responsible to contact with , introduce party b's products toand operate related business activities with ,promote signing contract between party b and .

b. 如果在乙方簽訂的買賣合同執(zhí)行過程中，由于甲方客戶方面的原因而產(chǎn)生的問題，在乙方的要求下，甲方有義務(wù)進(jìn)行協(xié)調(diào)解決執(zhí)行合同的問題；由于乙方的原因而產(chǎn)生的問題，在甲方客戶的要求下，甲方有義務(wù)進(jìn)行協(xié)調(diào)解決執(zhí)行合同的問題；

in the process of execution purchase contract, when has undeserved problems, party a has duty to coordinate solving problems. when party b do not perform under the terms of contract well, party a has right to require party b executing terms of purchase contract.

c. 乙方與客戶的買賣合同簽訂后，按照其合同約定履行。任何一方出現(xiàn)違約行為，甲方應(yīng)予以積極協(xié)調(diào)解決，但甲方不承擔(dān)對(duì)任何一方的任何擔(dān)保責(zé)任或其他法律責(zé)任，甲方有明確承諾的除外。

after signing purchase contract, no matter party b or broken, party a will coordinate solving problems. except commitment, party a will not have warranty and other legal responsibility for any one side.

（2）乙方的責(zé)任、權(quán)利和義務(wù)

party b's responsibilities, rights and obligations:

乙方應(yīng)保證生產(chǎn)太陽能電池組件的質(zhì)量和功率數(shù)量，全部承擔(dān)對(duì)于出現(xiàn)的產(chǎn)品質(zhì)量和功率數(shù)量的責(zé)任；

party b should guarantee and be whole responsibility to quality and quantity of solar panels.

3.費(fèi)用與付款：

commission

（1） 乙方提供甲方的咨詢費(fèi)，組件數(shù)量以乙方與簽訂的買賣合同為依據(jù)，以實(shí)際供貨量為結(jié)算數(shù)量，共計(jì)。如果乙方供貨量沒有達(dá)到合同約定數(shù)量，乙方有權(quán)要求重新商定咨詢費(fèi)用；

party b pays party a commission as , in sum, but the final commission amount will be subject to the actual quantity based on the sales contract. if the party b have not provided according to the sales contract, then the party b have right to re-negotiate the consulting fee.yiyi

（2） 在乙方收到客戶合同內(nèi)規(guī)定的貨柜的全款額后，通知甲方，甲方開具正規(guī)商業(yè)發(fā)票，乙方收到發(fā)票后15個(gè)工作日內(nèi)支付相應(yīng)貨柜的咨詢費(fèi)。 part b must inform part a when receiving sum contract amount of specific container goods from the customer, and part a should make out the standard commercial invoice. part b must pay for the entire consulting fee of corresponding container after receiving the invoice within 15 working days.

（3）若甲方未能促成 公司與乙方簽署買賣合同，甲方無權(quán)要求乙方支付咨詢費(fèi)或者任何費(fèi)用。咨詢費(fèi)用以實(shí)際發(fā)貨量為準(zhǔn)。

if the party a is unable to cause the signed contract between the party and company, the party a is not entitled to claim any remuneration or fee.

（4）甲方指定銀行賬戶信息如下：

4.違約責(zé)任

liability for breach

如果一方不能按照本協(xié)議執(zhí)行而給另一方造成了損失，受害方有權(quán)利要求對(duì)方給予相應(yīng)的賠償。

if any party is unable to perform this agreement and caused the loss of the other party, the victim has the right to ask for the corresponding compensation.

5.轉(zhuǎn)讓和保密

assignment and confidentiality

（1）未經(jīng)過對(duì)方同意不得將本協(xié)議規(guī)定的責(zé)任、義務(wù)向第三方轉(zhuǎn)讓；

without the agreement of the other party, the responsibility and obligation of this cooperation agreement should not be transferred to third party.

（2）合作項(xiàng)目的有關(guān)信息、各種資料文件和價(jià)格等，甲、乙雙方應(yīng)對(duì)第三方保密，不得以任何理由或方式泄密，因泄密造成的一切經(jīng)濟(jì)損失由泄密方負(fù)
